TERMS AND CONDITIONS

By creating a Partnered account, whether through a mobile device, mobile application or computer (collectively, the “Service”) you agree to be bound by (i) these Terms of Use, (ii) our Privacy Policy, Cookie Policy, Arbitration Procedures (if applicable to you), Safety Tips, and Community Guidelines, each of which is incorporated by reference into this Agreement, and (iii) any terms disclosed and agreed to by you if you purchase additional features, products or services we offer on the Service (collectively, this "Agreement"). If you do not accept and agree to be bound by all of the terms of this Agreement, please do not use the Service.

These terms and conditions together with the service as detailed on your membership agreement govern the sale and provision of our service and form the basis of the contract between us and you. The price payable for the services is as set out on the platform or Membership Agreement supplied and is inclusive of any applicable VAT. We will take payment upon receipt of your order and accept no liability if our services are delayed because you did not give us the correct payment details if paying by debit or credit card or if for any other reasons your payment has not been received. If it is not possible to obtain full payment for the services from you,

We may make changes to this Agreement and to the Service from time to time. We may do this for a variety of reasons including to reflect changes in or requirements of the law, new features, or changes in business practices. The most recent version is the version that applies. If the changes include material changes to your rights or obligations, we will notify you at least 30 days in advance of the changes (unless we’re unable to do so under applicable law) by reasonable means, which could include notification through the Service or via email. If you continue to use the Service after the changes become effective, then you agree to the revised Agreement.

MEMBERSHIP

You are not authorized to create an account or access or use the Service or systems it resides on unless all of the following are true:

  • you are at least 18 years of age.
  • you can form a binding contract with Partnered Uganda,
  • you are not a person who is barred from using the Service under the laws
  • you will comply with this Agreement and all applicable local, state, national and international laws, rules and regulations, and
  • you have never been convicted of a felony or indictable offense (or crime of similar severity), a sex crime, or any crime involving violence, and that you are not required to register as a sex offender with any state, federal or local sex offender registry.
  • You are unattached,
  • you are no longer living at the same address as a former partner and to provide us with true and accurate information relating to your personal circumstances.

Your safety is very important, we therefore advise you to verify the particulars of others for yourself and we cannot accept any liability for the validity of information provided. You are entering into a contract based on these terms and conditions on the date we receive your first payment, notwithstanding whether or not you have signed an agreement.

YOUR SERVICE

ORDINARY Our ordinary service opens up the options for you to connect with like-minded members of the opposite gender without initial physical bias. Have fun conversations and grow your networks and maybe a spark or two will fly along the way. Once you have registered and filled in your profile, you will have to attach a profile photo that is a true depiction of your current self. This image will remain blurred to the other members and can only be revealed to a connection whom you have permitted to view through the REQUEST TO REVEAL button. You will be given a code that will replace your name. Your actual name shall not be revealed to any members. You will do so at your own discretion to any of your connections. If the number of connections paid for runs out, a notification shall be sent to you to re-new your package. VIP MATCHMAKING SERVICE Your matchmaking will get underway once we have confirmed approval of your profile following your interview and we have all the necessary documents from you. A matchmaking contract shall also be signed before commencement. Your service may also include relationship coaching or other services associated with dating, as detailed in your Membership Agreement. If so, it is your responsibility to request we organise these services at a time convenient for you during your membership. We will send you recommendations of others on a one at a time basis whilst you are still seeking a partner. We reserve the right and absolute discretion to recommend others to you who we consider might be acceptable to you, notwithstanding that prospective partners may only match your partner preferences to a degree. The number of recommendations we can offer will depend upon your own characteristics and upon how narrow or otherwise your partner preferences are, and we cannot accept any responsibility for the outcomes of our recommendations. We guarantee to provide you with at least the number of recommendations if specified, in your membership agreement, and if these are required in your search to find a new partner. We will fulfil our guarantee if required, even if where necessary, we need to extend your period of service. This guarantee is subject to no significant change in your own circumstances or partner preferences likely to make matchmaking significantly more difficult or impossible. Where you have found a partner, the matchmaking service will be suspended and may be reactivated if you advise us that you are no longer in a relationship and where there is still service available within your agreement. As a courtesy to all members we will not offer you further recommendations when you have already accepted a recommendation from us and both parties involved agree to exchange contact information. It is your responsibility to let us know whenever you are again free to receive another recommendation. Our matchmaking may include sourcing beyond our current membership through headhunting and some prospective partners we recommend to you may have been retained through these means. However, all those we recommend to you from whatever source, will first have been ID verified and interviewed.

CONDUCT REQUIREMENTS

All members are required to adhere to high standards of conduct at all times, and therefore we ask that members behave appropriately, respectfully and courteously in all interactions with other members and with our staff. You agree not to: use foul language, harass or cause a nuisance, inconvenience, distress or anxiety or violate the privacy of anyone you connect with or we introduce you to, or to any employee or agent of Partnered Uganda; do anything which restricts or inhibits anyone else’s use and enjoyment of the services; do anything that deliberately or recklessly prejudices or damages the reputation of Partnered Uganda or any of its subsidiary /associated companies. You will not impersonate any person or entity or post any images of another person without his or her permission. use another member's account, share an account with another member, or maintain more than one account. create another account if we have already terminated your account, unless you have our permission. Partnered is not responsible for the conduct of any member on or off of the Service. You agree to use caution in all interactions with other members, particularly if you decide to communicate off the Service or meet in person. In addition, you agree to review and follow Partnered’s Safety Tips prior to using the Service. You agree that you will not provide your financial information (for example, your credit card or bank account information), or wire or otherwise send money to other members. YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER MEMBERS. YOU UNDERSTAND THAT PARTNERED DOES NOT CONDUCT CRIMINAL BACKGROUND CHECKS ON ITS MEMBERS OR OTHERWISE INQUIRE INTO THE BACKGROUND OF ITS MEMBERS (EXCEPT FOR THE VIP SERVICE MATCHMAKING SERVICE). PARTNERED MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT OR COMPATIBILITY OF MEMBERS.

CONFIDENTIALITY

You must not discuss or show any details of other members that we have supplied to you, to any other members or non-members at any time during or after your membership as this would be a violation of privacy. We will hold your details in the strictest confidence and abide by The Data Privacy Act. As our contract is with you our client, we can only discuss your membership with you personally and we will only share your contact details with others with your permission. You agree not to disclose any of your membership experience or the identity or personal information of any others we introduce you to, to anyone including any media outlets or share such information anywhere online or any website without the explicit permission of both us and of the other party(s) concerned. You agree that we can share your data with 3rd parties for validation purposes and share data with other matchmaking agencies we liaise with who also ID verify and interview members, solely for the purposes of our headhunting potential partners for you. Should your service include advertising, you agree we can share agreed information about you for the purposes of advertising for prospective partners for you. You agree that all information that you submit upon creation of your account, is accurate and truthful and you have the right to post the Content on the Service and grant the license to Partnered above. You understand and agree that we may monitor or review any Content you post as part of a Service. We may delete any Content, in whole or in part, that in our sole judgment violates this Agreement or may harm the reputation of the Service.

Terminating Membership

We have the right to terminate your membership in the following circumstances where: You have breached these terms and conditions You have failed to maintain contact with us or not responded to our contacts for a period of more than 6 months You have provided false information to us We have received a serious complaint about you which in the sole opinion of our Managing Director, is justified. Your personal details or partner preferences have changed significantly. This would include but is not limited to: the acquisition of a criminal record, or relocation which would significantly adversely impact on our ability to deliver the service to you For the avoidance of any doubt, in the event of a termination of this contract no refund will be applicable unless we have breached these terms and conditions or your consumer rights. You will not be entitled to any refund upon purchase of a package for any other reasons other than your legal right to cancel within 14 days of when this contract commences, and this includes but is not limited to, the formation of a lasting relationship before the expiry date of your membership with us. Should you experience the onset or exacerbation of a serious condition or suffer a serious injury, then at the company’s discretion, services may be suspended for up to 1 year if you let us know at the time of onset. Additionally, your service can be suspended by you if detailed in your membership agreement. Periods of suspension are each for at least one month and it remains your responsibility to inform us if you would like to reactivate your service. If you have not responded to our communications or we are investigating some aspect of your membership, your service may also need to be suspended. If you are charged with a criminal offence your service will be suspended, awaiting outcome of any potential prosecution. Partnered reserves the right to investigate and/or terminate your account without a refund of any purchases if you have violated this Agreement, misused the Service or behaved in a way that Partnered regards as inappropriate or unlawful, including actions or communications that occur on or off the Service.

Right to Cancel

Your contract with us commences on the date that we receive your first payment. The Consumer Contracts Regulations (Information, Cancellation and Additional Charges) 2013 apply and you have the legal right to cancel this contract for any reason within 14 days of the date that your contract commences, (the Cancellation Period). You have the right to cancel this contract within 14 days without giving any reason. The Cancellation Period will expire after 14 days from the date that your contract commenced. These rights to cancel are not applicable to any leisure activities including events/holidays. To exercise the right to cancel, you must inform us of your decision to cancel this contract by a clear written statement using email: partneredug@gmail.com To meet the cancellation deadline, it is sufficient for you to send your communication concerning your exercise of the right to cancel before the cancellation period has expired.

Effects of cancelling

VIP Members: Within the Cancellation Period if you cancel this contract, we will reimburse you all payments received from you. We will make the reimbursement without undue delay, and not later than 14 days after the day on which we are informed about your decision to cancel this contract. We will make the reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of the reimbursement. If you require us to begin services within the Cancellation Period, we require you to make an express request to do so. In such cases, your right to cancel continues until either the end of the Cancellation Period, or the completion of the services, whichever is earlier. If you cancel during the cancellation period, we may charge you for any services provided up until the point when we receive your cancellation notice and will provide a partial and proportional refund accordingly. Specifically, the following deductions from your refund will be applied where applicable: a home/office-based profiling consultation, 300,000/- plus any consultant’s travel costs, or 200,000/- for a Zoom or telephone-based profiling consultation; your profile drafted 300,000; data entry, initial searches and administration following your profile approval, 300,000; headhunting service initiated if applicable, 600,000, relationships coaching or other associated services if applicable, 300,000 – 700,000/- etc.

In consideration for Partnered allowing you to use the Service, you agree that we, our affiliates, and our third-party partners may place advertising on the Service. By submitting suggestions or feedback to Partnered regarding our Service, you agree that Partnered may use and share such feedback for any purpose without compensating you. Please be informed that Partnered may access, store and disclose your account information and Content if required to do so by law, by performing its agreement with you, or in a good faith belief that such access, storage or disclosure satisfies a legitimate interest, including to: (i) comply with legal process; (ii) enforce the Agreement; (iii) respond to claims that any Content violates the rights of third parties; (iv) respond to your requests for customer service; or (v) protect the rights, property or personal safety of the Company or any other person. We may assign this contract for operational reasons or in connection with a business transfer or reorganisation. Otherwise this contract is non-transferable. This contract is subject to English law and the English courts will have jurisdiction in respect of any dispute arising from this contract. If any provision shall be found by an English court to be unenforceable or invalid this shall not affect other provisions within this contract and all other provisions not affected will remain in full force and effect. Nothing in this agreement is intended to, nor shall it confer rights on any third party. Severability: if any provision in these terms and conditions is deemed to be illegal, unenforceable or invalid for any reason, it shall be deemed to have been struck out and the remaining provisions shall survive and continue to be binding and enforceable. Your use of our services is solely at your own risk and we do not accept any liability for any harm, loss, damage, claim or expense, whether direct or indirect and howsoever caused, arising out of your membership and/or your use of our services or reliance upon advice or information provided by us. All warranties in respect of the service and /or such information, whether express or implied, are excluded. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PARTNERED, ITS AFFILIATES, EMPLOYEES, LICENSORS OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE, (II) THE CONDUCT OR CONTENT OF OTHER MEMBERS OR THIRD PARTIES ON, THROUGH, OR FOLLOWING USE OF THE SERVICE; OR (III) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR CONTENT, EVEN IF PARTNERED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL PARTNERED’S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF THE AMOUNT PAID, IF ANY, BY YOU TO PARTNERED FOR THE SERVICE AND UGX 300,000 WHILE YOU HAVE AN ACCOUNT. The laws of Uganda, will apply to any disputes arising out of or relating to this Agreement or the Service. You agree, to the extent permitted under applicable law, to indemnify, defend and hold harmless Partnered, our affiliates, and their and our respective officers, directors, agents, and employees from and against any and all complaints, demands, claims, damages, losses, costs, liabilities and expenses, including attorney’s fees due to, arising out of, or relating in any way to your access to or use of the Service, your Content, or your breach of this Agreement.
